SPARKY ELTOS JSC increases its capital from 14,000,000 up to BGN 16,800,000 under conditions of public offering of 2,800,000 ordinary shares with nominal value of BGN 1 and issue price of BGN 16 each. The capital shall be increased provided minimum 2,280,000 shares are subscribed and paid for. Against each existing share of the company one right with ISIN BG4000030073 will be issued.

The public offering arising from the capital increase will embrace the offering for subscription of the new shares, as well as the rights for subscription of the new shares. The rights for subscription of the new shares will be registered for trade on the Unofficial Market of Bulgarian Stock Exchange-Sofia (BSE). The assigned Stock Exchange ticker is R1ELTOS. Five rights give the right for subscription of one share from the capital increase. Everyone may subscribe to at least one new share and to utmost such number of shares equal to the number of the owned and/or acquired rights divided by 5 and rounded down to the whole number.

The dates related to the capital increase of SPARKY ELTOS are the following:

- The right to participate in the capital increase will be entitled to all shareholders, who acquired shares of the company up to 7 days following the promulgation of the announcement in the State Gazette at the latest i.e. by Tuesday, 16.10.2007 (Record Date). - The final date for transacting shares of this company on the BSE-Sofia, as a result of which the holder will have right to participate in the capital increase, will be 12.10.2007 (Friday). - Initial date for trading in rights on the Exchange: 18.10.2007 - Final date for trading in rights on the Exchange: 31.10.2007 - Initial date for transferring the rights: 18.10.2007 - Final date for transferring the rights: 02.11.2007 - Date of the Auction pursuant to Art. 112b (7) of the POSA: 09.11.2007 - Initial date for subscription to shares: 18.10.2007 - Final date for subscription to shares of the increase: 26.11.2007

The Prospectus is approved by the Financial Supervision Commission (FSC) with decision No1257-E dated 3 October 2007.

Immediately after the registration of the new shares in the Trade Register, the Central Depository and FSC an application for registration for trading of the new shares on the BSE will be filed, which shares, together with the currently existing shares of SPARKY ELTOS JSC, will be traded on the Official Market of the BSE under the exchange code ELTOS. The trading of the new shares on the BSE is expected to start on or around 17 December 2007.
